These Terms of Service ("Terms") govern access to and use of the Haiwai AI Merchant Platform (delivered under the Sinomedia.com business brand), operated by AionWeb Inc. d/b/a Sinomedia.com ("Company", "Sinomedia", "we", "us"). By using the platform, you agree to these Terms.
1. Platform Overview
The Sinomedia.com platform is a Dynamic Contextual Conversational Advertising (DCCA) network operated by AionWeb Inc. d/b/a Sinomedia.com. The platform is composed of three core systems:
- Agent Factory — production system that creates Merchant Agents, Industry Brains, and Skill Packs.
- Agent Distribution Network — distribution layer that delivers Merchant Agents into publisher surfaces, city pages, content articles, and partner properties.
- DCCA Ad Network — contextual conversational ad network that matches user intent to Merchant Agents in real time and routes leads, calls, and bookings.
2. AAAS — Agent Advertising as a Service
AAAS is the subscription product offered to merchants on the SinoMedia™ platform. An AAAS subscription includes:
- Merchant Agent (AI-powered storefront and advisor)
- Industry Brain (vertical knowledge layer)
- Lead Capture (chat, call, appointment)
- CRM (lead management and follow-up)
- Analytics (conversation, conversion, attribution)
- DCCA Distribution (contextual placement across the Agent Distribution Network)
AAAS fees are infrastructure and service fees. AAAS is not a performance contract. AionWeb does not guarantee any specific number of impressions, leads, appointments, calls, conversions, or sales.
3. Merchant Agent Ownership
The merchant retains ownership of:
- Business information provided to the platform
- Brand assets, trademarks, and logos
- Merchant-supplied content
AionWeb, Inc. retains ownership of:
- The SinoMedia™ platform software
- AI workflows, prompt systems, and runtime engines
- Industry Brains and Skill Packs
- Agent Factory tooling and Agent Distribution Network infrastructure
- DCCA Ad Network infrastructure, routing logic, and attribution systems
Merchant Agents are operated on AionWeb infrastructure and are not standalone deliverables transferable off-platform.
4. Lead Attribution
To support CPL billing, publisher revenue sharing, analytics, and optimization, the platform may track:
- Source content (article, page, widget)
- Source website and publisher
- Source city partner
- Conversation history with the Merchant Agent
- Lead creation events (chat, call request, appointment)
- Merchant claim actions and follow-up status
Attribution data is used to operate the DCCA Ad Network, calculate CPL fees, distribute publisher revenue share, and improve matching quality.
5. AI Services Disclaimer
All responses generated by AI components of the platform — including Merchant Agents, Industry Brains, and Skill Packs — are informational only.
AI output does not constitute legal, tax, financial, accounting, medical, insurance, immigration, real estate, mortgage, or investment advice. Users should consult a qualified licensed professional before acting on AI output.
6. Publisher Revenue Sharing
Publishers participating in the Agent Distribution Network may receive compensation according to platform policies, which may include:
- CPL (cost-per-lead) revenue share
- CPA (cost-per-acquisition) revenue share
- Incentive payments for traffic quality, content quality, or activation
Specific rates, qualification rules, and payment terms are defined in the Publisher Agreement and platform policy documents.
7. Account Responsibility
Users are responsible for the security of their account credentials and for all activity that occurs under their account.
8. Limitation of Liability
The platform is provided on an "as is" and "as available" basis. AionWeb Inc. d/b/a Sinomedia.com shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the platform.
