Every approved Merchant automatically receives a complimentary 60-day AI Merchant Distribution Program upon successful onboarding. During this period:

• The AI Merchant Store is activated.
• The Merchant may participate in the Sinomedia DCCA Distribution Network.
• Qualified customer leads may be delivered.
• Phone / WeChat / Appointment / Lead Magnet leads may be generated.
• Standard CPL and applicable Success Fee remain governed by this Agreement.
• No AAAS monthly subscription fee is charged during the complimentary period.

Purpose: Allow merchants to evaluate real customer demand before deciding whether to subscribe to AAAS.

By creating an AI Merchant on the Sinomedia platform, Merchant agrees that (a) the platform may display and distribute the AI Merchant across the DCCA Distribution Network, (b) the platform routes customer demand to appropriate merchants using matching algorithms, and (c) the platform does not guarantee any specific volume of impressions, leads, or conversions.

CPL fees may apply per qualified lead delivered. CPL pricing is set per industry, market, and platform policy. Duplicate, invalid, fraudulent, or out-of-scope leads are not billable. CPL invoices are generated per the platform billing cycle.

For transactions originated through platform-distributed leads, Merchant shall pay a Success Fee at the agreed rate. Conversions must be verified through the platform's Conversion Code.

Merchant shall use the platform-issued Conversion Code at the time of customer transaction. The Conversion Code is the sole basis for the platform to verify conversions, calculate Success Fees, and issue Customer Rewards.

Merchants who consistently and accurately report qualified transactions may receive:

• Higher Merchant Trust Score;
• Higher AI recommendation priority;
• Increased DCCA distribution opportunities;
• Greater platform exposure;
• Eligibility for promotional campaigns;
• Early access to new platform programs.

1. Purpose

To promote a transparent and trustworthy marketplace, the Platform operates a Customer Reward Program to encourage customers to help verify completed transactions.

2. Success Code

Every qualified lead generated through the platform will receive a unique Success Code. The Success Code is used only for transaction verification. It is not a coupon, discount, rebate, or promotional code. It does not reduce the merchant's price or affect the merchant's quotation.

3. Customer Reward

When a transaction is completed:

• Merchant reports the completed transaction through Merchant Workspace.
• The platform verifies the transaction.
• Applicable Success Fee is collected according to this Agreement.
• The platform may provide the customer with a Customer Reward.

The reward is funded solely by AionWeb Inc., is not paid by the Merchant, is not deducted from the Merchant's revenue, and is not considered a Merchant discount.

4. Merchant Cooperation

Merchants are encouraged to promptly report completed transactions. Timely reporting helps improve Merchant Trust Score, improve transaction transparency, improve customer experience, improve future AI distribution quality, and increase eligibility for future platform programs.

5. Customer Cooperation

Customers are encouraged to keep their Success Code, remind the Merchant to record the completed transaction, and redeem any available Customer Reward through the Platform after verification.

6. Platform Rights

Customer Rewards are discretionary marketing incentives provided by AionWeb Inc. d/b/a Sinomedia.com. Reward amounts, eligibility, campaign duration, and redemption rules may change from time to time.

7. No Guarantee

Receiving a Success Code does not guarantee eligibility for a Customer Reward. Rewards are issued only after transaction verification, Merchant reporting, applicable Success Fee settlement, and compliance review.

8. Merchant Trust Connection

Consistent transaction reporting helps build a trusted ecosystem for both Merchants and Customers. Merchants maintaining high reporting quality may receive a higher Merchant Trust Score, more AI recommendations, greater DCCA distribution opportunities, and priority participation in future programs.

9. Commercial Position

This section is informational only. It does not change Success Fee calculation, billing logic, lead pricing, Conversion Code generation, or Customer Reward implementation. Current implementation remains unchanged.

• Provide accurate business and contact information.
• Comply with all applicable laws and regulations.
• Honor every platform-delivered lead in good faith.
• Do not circumvent the platform's conversion reporting.
• Use customer data only to serve the customer's request.

Merchant acts as a data controller for customer data it collects and shall comply with applicable privacy laws. Platform data handling is further described in the Privacy Policy.

This Agreement becomes effective upon successful onboarding and continues until terminated by either party. Either party may terminate with 30 days' written notice. The platform may terminate immediately upon material breach (e.g., systematic conversion underreporting or fraud).

The platform may update this Agreement from time to time; new versions are published with an incremented version number and previously accepted versions are retained as immutable snapshots. The Workspace Business Center will surface availability of new versions.

The AAAS monthly subscription is outside the scope of this Agreement. When the Merchant chooses to upgrade, a separate Subscription Agreement will be presented governing only the monthly fee, payment method, auto-renewal, billing authorization, and plan upgrades.

Sinomedia believes that an AI commerce platform should be built on genuine customer interactions, verified transactions, and long-term trust.

The Success Code, Merchant Trust Program, and Customer Reward Program together form the Platform's Trust Framework.

Transparent and verifiable transaction reporting enables the Platform to continuously improve AI recommendations, increase lead quality, reward trustworthy merchants, and create a better customer experience.

Our goal is not simply to charge fees, but to build a sustainable AI commerce ecosystem where merchants, customers, publishers, creators, and partners grow together.
